Terms of Service

These Terms of Service ("Terms") govern your access to and use of AI for Executives (the "Service"), including our website at celie.ai and any related products, content, and services provided by Celie AI, LLC ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1Eligibility
You must be at least 18 years old (or the age of majority where you live) to use the Service. By using the Service, you represent that you meet this requirement and have the authority to enter into these Terms.
2Accounts and access
You may need an account to access certain features, including course materials. You are responsible for all activity on your account and for keeping your credentials secure. If you believe your account has been compromised, contact us promptly at contact@celie.ai.
We may suspend or terminate access to the Service if we reasonably believe your use violates these Terms, applicable law, or creates risk for the Company or others.
3The course and single-user license
The Service includes access to an executive education course (the "Course") and associated materials, which may include videos, slides, transcripts, ebooks, audio, and other resources (collectively, "Course Materials").
Unless explicitly stated otherwise at checkout or in writing, your purchase grants a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Course Materials for your own internal, non-commercial learning purposes.
Single-user license
Course access is licensed to a single individual. You may not share, resell, sublicense, distribute, publicly display, publicly perform, post, transmit, or otherwise make Course Materials available to any third party (including within your company) without our prior written permission. For multi-seat or enterprise arrangements, contact contact@aleix.ai.
4Prohibited conduct
You agree not to:
- Use the Service for unlawful, harmful, or deceptive purposes.
- Copy, scrape, crawl, reverse engineer, decompile, or attempt to extract source code or underlying ideas from the Service, except as permitted by law.
- Circumvent access controls, share login credentials, or enable others to access the Service using your account.
- Interfere with or disrupt the Service or its security features.
- Upload or transmit content that infringes third-party rights or contains malware.
5Purchases, billing, and refunds
If you purchase access to the Course or other paid features, you agree to pay all fees, taxes, and charges disclosed at checkout. Payments are processed by third-party payment processors (for example, Stripe). We do not store full payment card details on our servers.
Refunds
Unless required by applicable law or expressly stated at checkout, all purchases are final. If we choose to issue a refund (in whole or in part) in our sole discretion, it will be processed back to the original payment method when possible.
If the Service includes subscriptions or recurring billing, your subscription may renew automatically unless cancelled, as described at checkout. Cancellation stops future charges but does not retroactively refund prior charges unless required by law or expressly stated.
6Intellectual property
The Service and Course Materials are owned by the Company and/or its licensors and are protected by intellectual property laws. Except for the limited license granted above, no rights are granted to you.
7Disclaimers
The Service and Course Materials are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The Course is educational in nature. We do not guarantee outcomes, results, business performance, revenue, cost savings, or any specific benefit from using the Service.
8Limitation of liability
To the maximum extent permitted by law, in no event will the Company be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Service or these Terms.
To the maximum extent permitted by law, the Company's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the total amounts paid by you to the Company for the Service in the 12 months preceding the event giving rise to the claim.
9Indemnification
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.
10Changes to the Service or Terms
We may modify the Service or these Terms from time to time. If we make material changes, we may provide notice through the Service or by other reasonable means. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
11Governing law
These Terms are governed by the laws of the jurisdiction in which the Company is organized, without regard to conflict of laws principles, except where prohibited by applicable law.
